Having perused the federal law No. (2) for the year 2015 concerning commercial companies.

بعد الاطلاع على القانون الإتحادي رقم (2) لسنة 2015م بشأن الشركات التجارية.

The Cabinet Resolution No. (14) for the year 2006 concerning the system of the National Media Council and its amendments.

وقرار مجلس الوزراء رقم (14) لسنة 2006م في شأن نظام المجلس الوطني للإعلام وتعديلاته.

The Cabinet Resolution No. (70/13) for the year 2007 to regulate the exercise of some of the free zones of media licenses.

وقرار مجلس الوزراء رقم ( 70/13 ) لسنة 2007م بتنظيم ممارسة بعض المناطق الحرة للتراخيص الإعلامية.

The law No. (2) for the year 1999 concerning the establishment of Sharjah Emirate Executive Council, its by-laws  and amendments.

والقانون رقم (2) لسنة 1999م بشأن إنشاء المجلس التنفيذي لإمارة الشارقة ولائحته الداخلية وتعديلاته.

The Amiri decree No. (14) for the year 2013 concerning the establishment of Sharjah City for Publication “Free Zone Authority”.

والمرسوم الأميري رقم (14) لسنة 2013م بإنشاء مدينة الشارقة للنشر "هيئة منطقة حرة".

The Amiri decree No. (33) for the year 2013 concerning the re-organizing of Sharjah Media Center and its amendments.

والمرسوم الأميري رقم (33) لسنة 2012م بإعادة تنظيم مركز الشارقة الإعلامي وتعديلاته.

The Amiri decree No. (51) for the year 2015 concerning the re-organizing Sharjah Media Corporation and its amendments.

The Amiri Decree No (6) for year 2017 concerning the establishment of Sharjah Media Council.

والمرسوم الأميري رقم (51) لسنة 2015م بإعادة تنظيم مؤسسة الشارقة للإعلام وتعديلاته،

والمرسوم الأميري رقم (6) لسنة 2017م بشأن إنشاء وتنظيم مجلس الشارقة للإعلام.

And for the purposes of reaching a distinguished media communication, and building sophisticated civilization based on our cultural, religious and social heritage, and for the purpose of public interest;

ولغايات الوصول إلى خطاب إعلامي متميز، وبناء حضارة راقية تستند إلى موروثنا الثقافي والديني والاجتماعي، ولما تقتضيه المصلحة العامة،

We hereby issue the following decree:-

Definitions

Article (1)

التعريفات

المادة (1)

In applying the provisions of this decree, the following words and expressions set below shall have the meanings assigned to each unless the context requires otherwise:

في تطبيق أحكام هذا المرسوم يكون للكلمات والعبارات التالية المعاني المبينة قرين كل منها ما لم يقض سياق النص خلاف ذلك:

The State: United Arab Emirates

الدولة: دولة الإمارات العربية المتحدة.

The Emirate: The Emirate of Sharjah

الإمارة: إمــــــــــــــــــــــــــارة الشــــــــــــــــــــــــــــــــــــــــــــــارقة.

The Ruler: The Ruler of the Emirate

الحاكم: حــــــــــــــــــــــــــــــــــــاكم الإمــــــــــــــــــــــــــــــــــــــــــــارة.

The City: Sharjah Media City –Free Zone Authority, established by virtue of this decree.

المدينة: مدينة الشارقة للإعلام – هيئة منطقة حرة والمنشأة بموجب هذا المرسوم.

Chairman: Chairman of the city

Council: Sharjah Media Council

الرئيس: رئيس المدينة.

المجلس: مجلس الشارقة للإعلام.

Company / Establishment: Any natural or corporate entity licensed to carry out any activities licensed in the City under this decree, regulations and implementing orders or decisions.

الشركة أو المؤسسة: أي شخص طبيعي أو اعتباري مرخص له للقيام بأي من النشاطات المسموح بها في المدينة وفقاً لهذا المرسوم واللوائح والقرارات المنفذة له.

Products: All products and services – for example- the materials, equipments, machines, films, media programs of all types related directly to the media and its product.

المنتجات: كافة المنتجات والخدمات –على سبيل المثال- المواد والمعدات والآلات والأفلام والبرامج الإعلامية من كافة الأنواع ذات الصلة المباشرة بالمنتج الإعلامي والإعلام.

Establishment

Article (2)

الإنشاء

المادة (2)

A Free Zone for media shall be established in the Emirate under the name:

تنشأ في الإمارة بموجب هذا المرسوم منطقة حرة للإعلام تسمى:

Sharjah Media City “Free Zone Authority”

"مدينة الشارقة للإعلام " "هيئة منطقة حرة"

Having corporate entity, full financial and administrative independence and full capacity to undertake legal actions necessary to achieve its objectives. It works under the umbrella of Sharjah Media Council. Its location and geographical borders shall be determined by an order to be issued by the Ruler.

تتمتع بالشخصية الإعتبارية ويكون لها الإستقلال المالي والإداري والأهلية الكاملة لمباشرة التصرفات القانونية اللازمة لتحقيق أغراضها، وتتبع لمجلس الشارقة للإعلام ويتم تحديد موقعها وحدودها الجغرافية بقرار يصدر من الحاكم.

The Objectives

Article (4)

الأهداف

المادة (4)

The City objectives are as follows:

تهدف المدينة إلى تحقيق ما يلي:-

1-       To develop and nurture talents and human labor forces in the media and creative fields.

1. تنمية واحتضان المواهب والقوى البشرية العاملة في المجال الإعلامي والإبداعي.

2-       To attain regional leadership in education and training in media and creative fields.

2. الريادة الإقليمية في مجال التعليم والتدريب الإعلامي والإبداعي.

3-       To support and develop high quality media and creative contents.

3. دعم وتطوير المحتوى الإعلامي والإبداعي عالي الجودة.

4-       To provide an appropriate environment for media and creativity through establishing an attractive and sustainable City with infrastructure and services at world-class standard at reasonable costs.

4. توفير بيئة ملائمة للإعلام والإبداع عن طريق ايجاد مدينة جاذبة ومستدامة ذات بنية تحتية وخدمات بمستوى عالمي وبتكاليف معقولة.

5-       To enable small and medium-sized companies and establishments, and pioneers to engage within the media creative sectors.

5. تمكين الشركات والمؤسسات الصغيرة والمتوسطة والرياديين من الانخراط في القطاعات الإعلامية الإبداعية.

6-       To enhance the reputation of the Emirate in the creative and media fields, by highlighting the local content regionally and globally.

6. تعزيز سمعة الإمارة في المجالات الابداعية والاعلامية من خلال ابراز المحتوى المحلي اقليميا وعالمياً.

The City Authorities

Article (5)

اختصاصات المدينة

المادة (5)

Subject to the relative federal and local legislations, in order to achieve its objectives, the City shall have the following authorities:

مع مراعاة التشريعات الاتحادية والمحلية ذات الصلة، يكون للمدينة في سبيل تحقيق أهدافها الاختصاصات التالية:-

1. To build infrastructures, related preparations, to provide administrative support services and other services necessary to achieve its objectives.

1. تشييد البنية التحتية والتجهيزات ذات الصلة الخاصة بالمدينة وتقديم خدمات الدعم الإداري وأية خدمات أخرى ضرورية لتحقيق أهدافها.

2. To establish companies, establishments or enterprises whether in partnership or Independently within the City.

2. تأسيس شركات أو مؤسسات أو مشاريع مشتركة أو فردية داخل المدينة.

3. To determine and regulate businesses and activities licensed within the City, to specify terms, conditions, requirements and procedures for licensing such business and activities.

3. تحديد وتنظيم الأعمال والأنشطة المرخّص بممارستها داخل المدينة، وإعداد القواعد والشروط والمتطلبات والإجراءات لترخيص مثل تلك الأعمال والأنشطة.

4. To register and license establishments and companies and to collect charges and fees levied against such services, in addition to other services provided by the City.

4. تسجيل وترخيص المؤسسات و الشركات وتحصيل الرسوم والأجور المفروضة على مثل تلك الخدمات وغيرها من الخدمات التي تقدّمها المدينة.

5. To lease plots and facilities to third parties intending to operate or live within the City to enable practicing their activities.

5. إبرام عقود تأجير الأراضي والمباني للطرف الاخر الذي يرغب في العمل أو السكن في المدينة لتمكينه من مزاولة نشاطه وفقاً للشروط التي يتفق عليها.

6. To coordinate with concerned government departments to coordinate operation between the City’s companies and establishments with entities outside the city.

6. تنظيم طريقة العمل بين شركات ومؤسسات المدينة وأية جهات خارجها بالتعاون والتنسيق مع الجهات الحكومية المختصة.

7. To participate in media events in and outside the State.

7. المشاركة في الفعاليات المعنية بالإعلام داخل الدولة وخارجها.

8. To permit companies and establishments to import and store products and goods; for re-exporting or delivering them to the Customs Area in the Emirate by coordinating with the relevant authorities.

8. التصريح للشركات والمؤسسات باستيراد وتخزين المنتجات والبضائع بُغية إعادة تصديرها أو تسليمها لمنطقة الجمارك في الإمارة بالتنسيق مع الجهات المختصّة.

9. To buy, lease and own movable and immovable assets necessary to perform its duties, and to engage in all related fields of investments as permitted by the applicable legislations and rules.

9. شراء واستئجار وتملُّك الأصول المنقولة وغير المنقولة اللازمة لممارسة مهامّها، والاستثمار بكافة مجالاته بما تسمح به التشريعات والنظم السارية.

10. To conclude agreements with other free zones to enable the City’s companies and establishments to practice within such free zones as permitted by the Chairman.

10. الإتفاق مع المناطق الحرة الأخرى بشأن تمكين شركات ومؤسسات المدينة من مزاولة العمل في تلك المناطق حسبما يسمح به الرئيس.

11. To cooperate and coordinate with the local, federal, regional and international bodies including other free zones in the media field.

11. التعاون والتنسيق مع الجهات المحلية والاتحادية والإقليمية والدولية، بما فيها المناطق الحرة الأخرى في مجال الإعلام.

12. To check and decide on complaints submitted by companies and establishments operating within the City.

12. النظر في الشكاوى التي تقدم من الشركات والمؤسسات العاملة في المدينة والبت فيها.

13. To practice any other activities associated with the City’s field of business and which assist it to achieve its objectives.

13. القيام بأي أعمال أخرى ترتبط بمجال عمل المدينة وتؤدي إلى تحقيق أهدافها.

14. Any other authorities granted to the City by the Ruler or Executive Council or the council.

14. أية اختصاصات أخرى توكل إليها من الحاكم أو المجلس التنفيذي أو المجلس.

The Management

Article (6)

الإدارة

المادة (6)

The City shall be managed by Chairman appointed by an Amiri Decree, he would be responsible for general supervision of the City and shall have the following authorities as necessary to undertake such supervision:

يتولى إدارة المدينة رئيس يعين بمرسوم أميري ويتولى مهام الإشراف العام على المدينة، وله في سبيل ذلك ممارسة الإختصاصات التالية:

1. To propose the City general policies, programs and projects and supervise their implementation after being approved by the Ruler and to draft plans that ensure development of the work in the City and its staff.

1. اقتراح السياسة العامة للمدينة وبرامجها ومشروعاتها والإشراف على تنفيذها بعد اعتمادها من الحاكم ووضع الخطط التي تكفل تطوير العمل في المدينة والعاملين فيها.

2. To approve the City regulations, managerial regulations, and financial regulations.

1. اعتماد اللوائح التنظيمية والإدارية والمالية لإدارة المدينة.

3. To supervise work progress in the City as per applicable laws and regulations and to issue decisions, instructions and circulars necessary for this purpose.

1. الإشراف على سير العمل في المدينة وفقاً للقوانين والأنظمة السارية وإصدار القرارات والتعليمات والتعاميم اللازمة لذلك.

4. To approve City’s expenditure from the budget assigned to it and subject to relative laws, regulations and decisions.

1. اعتماد الصرف من ميزانية المدينة ضمن الاعتمادات المقررة لها ووفقاً للقوانين والأنظمة والقرارات ذات الإرتباط.

5. To establish any other entities to be added to the City, and delegate what is necessary to achieve the objectives for which the City is established.

1. تشكيل أية كيانات أخرى يتم ضمها للمدينة، وتفويضها إذا ما دعت الحاجة، لتحقيق الأهداف التي أُنشئت من أجلها المدينة.

6. To form committees and define their duties and authorities.

1. تشكيل اللجان وتحديد مهامها وصلاحياتها.

7. To undertake any other legal acts necessary to enable the City to perform its duties properly within the limit of the law.

1.  مباشرة كافة التصرفات القانونية التي يقتضيها  حسن قيام المدينة بعملها في حدود ما يسمح به القانون.

8. To approve the rules related to organizing the activities of the establishments, such as the rules of media broadcasting and publication, and appointing experts, centers and companies to solve any issues related to applying those rules.

1.  الموافقة على القواعد المتعلقة بتنظيم أنشطة المؤسسات مثل قواعد البث والنشر الإعلامي، وتعيين مراكز وشركات خبراء مختصين لحل أية مشاكل مرتبطة بتطبيق تلك القواعد.

9. To approve the organizational structure, to appoint staff required for managing and operating the City, to determine their grades, their appointment conditions and other related matters.

10. To supervise the executive management of the City and to oversee its administrative, financial and technical performances.

11. To coordinate with the local and federal authorities / entities and other free zones to achieve the goals for which the City was established.

12. He shall represent the City before governmental and private entities, and conclude the contracts and agreements on behalf of the City to achieve its goals.

1. اعتماد الهيكل التنظيمي وتعيين الموظفين المطلوبين لإدارة وتشغيل المدينة وتحديد درجاتهم الوظيفية وشروط تعيينهم وكافة الأمور الأخرى ذات الصلة.

1. الإشراف على الإدارة التنفيذية للمدينة ومراقبة أدائها من كافة النواحي الإدارية والمالية والفنية.

1. التنسيق مع السُّلُطات / الجهات والمؤسسات الاتحادية والمحلية وغيرها من المناطق الحرة بهدف تحقيق الأهداف التي أُنشئت المدينة من أجلها

1. تمثيل المدينة أمام الجهات الحكومية والخاصة وإبرام العقود والإتفاقيات بالنيابة عن المدينة من أجل تحقيق أهدافها.

13. Any other authorities assigned by the Ruler or the Council.

1. أي صلاحيات أخرى يكلّف بها من الحاكم أو المجلس.

Financial Resources

Article (7)

الموارد المالية

المادة (7)

The City’s financial resources are comprised of the following:

تتكوّن الموارد المالية للمدينة مما يلي:

1. Funds and provisions provided by the government.

1. الأموال والاعتمادات المالية التي تخصصها لها الحكومة.

2. The City revenues from practicing its activities, including charges and rents collected with the Chairman’s Consent.

2. الإيرادات الذاتية للمدينة نتيجة ممارسة نشاطها بما في ذلك الرسوم والأجور التي تحصلها بموافقة الرئيس.

3. Movable and immovable assets allocated to the City by decree or order from the Ruler.

3. الأصول المنقولة وغير المنقولة التي يصدر بتخصيصها مرسوم أو قرار من قِبل الحاكم.

4. Profits and proceeds from its investments and funds.

5. Loans availed with the Ruler’s consent.

4. أرباح وعوائد استثماراتها وأموالها.

5. ما تحصل من قروض بموافقة الحاكم

The Annual Budget

Article (8)

الموازنة السنوية

المادة (8)

The City shall adopt commercial accounting principles and standards in maintaining its accounts and records. The financial year shall commence on the 1^st day of January and expire 31^st of December of each year provided that the first financial year shall commence from the date on which the City commences its operation and expires on 31^st December of the same year.

تتبع المدينة في تنظيم حساباتها وسجلّاتها، أصول وقواعد المحاسبة التجارية. وتبدأ سنتها المالية في اليوم الأول من شهر يناير وتنتهي في الحادي والثلاثين من شهر ديسمبر من كل عام، على أن تبدأ السنة المالية الأولى من تاريخ ممارسة المدينة لأعمالها وتنتهي في اليوم الحادي والثلاثين من ديسمبر من العام نفسه.

Tax Exemption

Article (9)

الإعفاء من الضرائب

المادة (9)

Companies, establishments, individuals and staff working in the City are exempted from taxes levied in the Emirate for their business within the City for fifty years renewable for similar period(s) by decision from the Chairman effective from the business commencement date.

تعفى الشركات والمؤسسات وكذلك الأفراد والموظفون في المدينة من الضرائب المفروضة في الإمارة، بما في ذلك ضريبة الدخل، فيما يتعلق بنشاطات أعمالهم داخل المدينة، وذلك لمدة خمسين عاماً قابلة للتجديد لمدة أو مدد مماثلة بقرار يصدر من الرئيس إعتباراً من تاريخ البدء بالأعمال.

Inspection Authority

Article (10)

صلاحية التفتيش

المادة (10)

Subject to the relative federal legislations, the City management shall have the authority to monitor and inspect the activities of the companies, establishments, individuals and staff working within the City, which might violate the applicable legislations, this decree or any other relative legislations.

مع مراعاة التشريعات الإتحادية ذات الصلة، لإدارة المدينة صلاحية المراقبة والتفتيش على أنشطة شركات ومؤسسات المدينة والأفراد والموظفين العاملين بها والتي يشتبه في أنها تخالف أحكام التشريعات السارية أو هذا المرسوم أو أية تشريعات أخرى ذات صلة.

Exemption from Laws

Article (11)

الاستثناء من القوانين

المادة (11)

All business performed within the City by the City’s companies, establishments and staff are not subject to the laws and regulations applicable by municipalities or the Economic Development Department or any other government bodies and authorities. Notwithstanding the above, the City may utilize or use any licensing facilities or services provided by the said departments for licensing the City companies and establishments as the City management thinks suitable. All the City companies and establishments which benefited from such department services in their licenses shall be subject to the free zone’s rules and regulations and their licenses shall be deemed as if issued by the City.

جميع الأعمال المنفذة داخل المدينة من قبل شركات ومؤسسات وموظفي المدينة لا تخضع للقوانين واللوائح المطبقة في البلديات أو دائرة التنمية الإقتصادية أو المؤسسات والهيئات والدوائر التابعة للحكومة، ومع ذلك يجوز للمدينة أن تستفيد أو تستخدم أي تسهيلات أو خدمات ترخيص تقدمها تلك الدوائر المذكورة، لترخيص شركات ومؤسسات المدينة حسبما تراه إدارتها مناسباً. وتخضع كافة شركات ومؤسسات المدينة التي استخدمت بشأن ترخيصها خدمات تلك الدوائر للوائح وأنظمة المناطق الحرة وتعتبر رخص تلك الشركات والمؤسسات كأنها صادرة عن المدينة.

Charges and Fines

Article (12)

الرسوم والغرامات

المادة (12)

The Chairman shall issue a decision regulating the charges payable for services which the City provides. Such regulation shall determine fines and remedies applicable to companies and establishments that violate this decree or any by-laws issued under it.

The Chairman shall also issue the City’s financial and administrative regulations.

تصدر بقرار من الرئيس لائحة تحدد الرسوم التي تستوفى مقابل الخدمات التي تقدمها المدينة وتتضمن اللائحة الغرامات والتدابير المقررة على الشركات والمؤسسات التي تخالف أحكام هذا المرسوم أو أية لوائح تصدر بشأنه.

كما يصدر الرئيس اللوائح المالية والإدارية الخاصة بالمدينة.

No Liability for Debts

Article (13)

عدم المسؤولية عن المديونية

المادة (13)

Under no circumstances shall the government or The City be liable directly or indirectly to third parties for debts and obligations of companies and establishments operating within or outside the City or for any other damages whatsoever.

في جميع الأحوال وتحت أي ظروف لا تكون الحكومة أو المدينة مسؤولة بصورة مباشرة أو غير مباشرة تجاه الآخرين عن ديون أو إلتزامات الشركات والمؤسسات داخل أو خارج المدينة، أو أية أضرار أخرى مهما كان نوعها غير ما ذكر.

General Provisions

Article (14)

أحكام عامة

المادة (14)

The City is exempted from all local taxes and charges of whatever type.

تُعفى المدينة من جميع الضرائب والرسوم المحلية أياً كان نوعها.

Article (15)

The Decree NO. (10)/2016 related to establishment of Sharjah Media City “Free Zone Authority “shall be cancelled.

المادة (15)

• ُلغى المرسوم الأميري رقم (10) لسنة 2016م بشأن إنشاء مدينة الشارقة للإعلام " هيئة منطقة حرة".

This decree shall come into effect from its issue date and shall supersede any provision that contradicts or conflicts with its provisions and shall be published in the Emirate’s gazette.

يُعمل بهذا المرسوم اعتباراً من تاريخ صدوره، ويلغى أي حكم يخالف أو يتعارض مع أحكامه، وينشر في الجريدة الرسمية.
